Summary of Organization

The fine print:  This is a guide to help with reading and understanding the proposed bylaws.  It is not a substitute for the bylaws.

Definitions

Member A dues-paying Central Ohio recreational folk dance group.

(Current members: Whetstone International Folk Dancers, Columbus Folk Dancers, English Country Dancers, Big Scioty Barn Dance, Hillel International Folk Dancers, Welsh Country Dancers, Heather'n'Thistle (Columbus Royal Scottish Dance Society), Scandinavian Folk Dancers.)

New members: (Article 3) To be admitted into membership, a group:

  • must be a Central Ohio recreational folk dancing group whose activities are consistent with the purposes of RFDC;
  • must be accepted by the Board of Directors of RFDC; and
  • must pay current dues.

No individuals are members of RFDC!

Representative A person appointed by a member organization.
Alternate A person optionally appointed by a member organization to act as the organization's representative during the absence of its appointed representative.
Board Member-at-Large A person appointed to the Board of Directors of RFDC by the representatives of the member organizations.

RFDC may have anywhere from zero to five board members-at-large.

Officers The President, Vice-President, Secretary, and Treasurer.

An officer must be a member of the Board of Directors.
Board of Directors The aggregate of representatives and board members-at-large.

Appointment / Term of Office / Removal

Representative - appointed, replaced and removed by action of the member organization.

Alternate - appointed, replaced and removed by action of the member organization.

Board Member-at-large - appointed for a term of up to one year and removed by the representatives of the member organizations.

Officer - Term of office: January 1-December 31.  One year term.  Maximum two consecutive terms.  Appointed and removed by a majority of the representatives.

Meetings

Board of Directors - at least twice a year.  Called by president or by two Board members.

Amendments to bylaws

Proposed by Board.  Approved without change by a majority of governing bodies of member groups within two months.  A proposed amendment expires if it is not approved within two months.

Dissolution

Dissolution resolutions are handled in the same manner as proposed amendments with expiry in six months.  Assets are distributed among member groups taking length of membership into account.
